The deal, which includes customary post-closing adjustments, underscores Quaker Houghton’s commitment to expanding its capabilities and portfolio in key industrial markets.
Founded in 1953 and headquartered in Japan, Dipsol Chemicals serves the automotive and industrial sectors with a robust portfolio of advanced plating solutions. The company operates globally, generating approximately $82 million in revenue over the twelve months ending December 31, 2024, with an estimated adjusted EBITDA of $15 million. The purchase price reflects a multiple of around 10.5 times Dipsol’s trailing twelve-month EBITDA.
This acquisition is strategically significant for Quaker Houghton as it broadens the company’s offerings, particularly in the Asia-Pacific region where Dipsol has a solid market presence. Beyond geographic expansion, the deal strengthens Quaker Houghton’s advanced solutions portfolio and provides complementary product technologies that align with its technical service model.
With a workforce of approximately 450 employees and production and R&D facilities across Asia, North America, and Europe, Dipsol brings added depth to Quaker Houghton’s global operations. The transaction, expected to close in the second quarter of 2025, is subject to regulatory approvals and routine closing conditions. Quaker Houghton plans to fund the acquisition through borrowings under its existing credit facility, signaling its strong financial foundation to execute growth-oriented initiatives.
