WARRINGTON, PA — Windtree Therapeutics, Inc. (NasdaqCM: WINT) has announced a 1-for-50 reverse stock split of its common stock. The company’s board approved the move following authorization granted by stockholders during a Special Meeting on February 3, 2025. This decision, effective February 20, 2025, at 5:00 p.m. Eastern Time, is designed to boost the stock’s per-share price and ensure compliance with Nasdaq’s $1.00 minimum bid price requirement.

Starting February 21, 2025, the company’s common stock will trade on a split-adjusted basis on Nasdaq under the ticker symbol “WINT.” The reverse stock split will reduce the number of outstanding shares from approximately 35 million to about 700,000, combining every fifty shares of issued and outstanding common stock into one. The par value of the stock, at $0.001, will remain unchanged.

This move carries practical implications for shareholders. Proportional adjustments will be applied to equity awards, warrants, and convertible securities, ensuring consistency in share structure. Additionally, no fractional shares will be issued, with fractional entitlements instead receiving proportional cash payments.
